What Are Contingent Value Rights?
Contingent value rights are contractual rights issued to target-company shareholders in some M&A transactions. A CVR may pay additional cash or securities if specified events occur after closing, such as FDA approval, commercial sales milestones, royalty payments, litigation recoveries, divestiture proceeds or balance-sheet adjustments. CVRs are common in life sciences deals but also appear in other sectors when part of the purchase price depends on uncertain future outcomes.
Public M&A Deals With Contingent Value Rights and Payment Rights
This tracker lists public merger and acquisition transactions that included contingent value rights, CVRs, or similar contingent payment rights as part of the deal consideration. These instruments are often issued when buyers and sellers disagree on the value of future milestones, litigation recoveries, regulatory approvals, product sales, asset sales or other post-closing events.
The database covers public-company M&A transactions announced since 2018 and includes deal terms from company press releases, SEC filings and related transaction documents. For each transaction, we track the target, acquirer, announcement year, closing status, form of consideration, CVR payout amount, milestone triggers, deadlines, tradeability, and other key payment details.
